1. Choose Setup Type

There are 2 standard options to set up a limited liability company (AB) in Sweden: to incorporate a new company or to buy a new shelf company. We consult about the best option according to your requirements. Fully remote service with no travel is available with both options.

2. Document Preparation

We take care of all documentation and manage the entire process! In most cases the optimal choice for private individuals is a new shelf company. We collect all necessary information which in most cases includes preferred company name, passport copy and contact details. We take care of the rest!

3. Registry Processing

Your company average setup time is 10 business days after submission. You only have to sign the documentation in your home country and courier the signed documents to our office. Alternatively, we can schedule a meeting in our Stockholm office.

4. Taxes & Banking

We can take care of the F-tax, employer and VAT registrations.We can also establish rights for our local accountant to take care of your tax returns. For bank account opening we have available various fintech banks in the EU and for some cases also traditional bank options.

5. On-going Support

Our team will advise about the most efficient end economical setup for your business needs. We can support with physical office setup, finding local employees, payment processing solutions, obtaining activity licenses (e.g. MiCA CASP, PI etc.) and other legal services required.

Accounting services
Our accounting department can take care of all of your Swedish company accounting and tax declarations, as well as consult about financial and tax questions. The cost of monthly bookkeeping depends on the company profile and number of invoices. Financial statements have to be submitted annually.

  • Starter package including up to 10 transactions per month and VAT declarations: from 3 hours per month (€ 95+VAT per hour)
  • One-time accounting setup fee: € 150

WHAT DO YOU NEED TO KNOW FOR COMPANY FORMATION IN SWEDEN?

ABOUT SWEDEN: OVERVIEW AND MAIN REQUIREMENTS

Corporate structure

There are no restrictions for the company shareholder(s). However, a minimum of 2 management board members (chairman and deputy) are required, whom must be a resident of an EU/EEA country (or special permit is required), same person(s) can be the shareholder(s).

Company setup in 10 days

Your company or subsidiary in Sweden will be set up in approximately 10 business days (subject to registry processing time) after we have received the certified documentation from you. We can offer full remote service with no travel. We will provide step by step instructions.

Virtual registered office

A local registered company office address in Sweden is required. We can provide a virtual office service with postage collection and forwarding to your e-mail. Further options include local telephone and fax numbers. There is no requirement for a physical office.

Share capital payment

For our new tailor-made incorporations and shelf companies we have pre-registered the share capital in the required amount (capital recorded in cash registry, 0 balance), hence no separate transfers are required for the setup phase.

Banking in Sweden

We work with several Swedish banks such as SEB to ensure the most time and cost efficient opening of a corporate bank account for your company. As an alternative, we also assist to set up with a fintech bank online.

Accounting&payroll
